Business Practice
At the Morrison Law Firm, we have represented numerous private business as well as many municipalities including school boards, towns, cities, and have served as Corporation Counsel for Marinette County. We have advised the boards of these organizations, attended board meetings, and served as parliamentarian of such meetings on numerous occasions. We represent management in labor relations issues including contract negotiations, drafting, grievance, mediation and arbitration.
We have represented employers with respect to Americans With Disabilities Act, Family Medical Leave Act, and many other employment and worker issues. We have represented employers in self-insured and workers' compensation matters as well in the broad spectrum of business planning and structuring issues.

Business and Corporate Law - We provide a wide variety of services to business clients. We have successfully represented our corporate and individual clients in a broad range of business transactions over the years including the purchase and sale of business assets, mergers and acquisitions, business formation, project development and winding down of business operations. We also provide quality legal assistance in the preparation and review of complex legal documents.

Business Organizations - The form of entity selected for the conduct of a business greatly impacts the daily operations of the business and the income tax consequences to both the business and its owners. We assist clients with this step of business formation by reviewing the goals and individual facts present in each situation to recommend the best entity-selecting from sole proprietorships, limited/general partnerships, limited liability companies, or corporations, and the different elections or options available under each. We can advise business clients from the initial conference and entity decision-making, through document preparation and filing with appropriate authorities, to post-formation activities such as preparation and adoption of bylaws and director/shareholder resolutions. We also handle asset purchase agreements and non-competition issues.
Business Litigation - We represent and advise business clients who are or might become involved in a lawsuit as a result of a dispute. Our areas of business litigation expertise include contracts, the defense of "Unfair Business Competition" claims, employment-related matters, general business matters, as well as litigation prevention and settlement.
